Terms and Conditions of Engagement- FitStream Group Live Streaming Services

Parties:

*Gym In Motion Ltd, Registration  Number: 11291303, Registered Office 5 Meadow Valley, Great Bricett, Suffolk IP7 7 DX (“GIM Ltd”)

*The Client (“Client”) as set out on the invoice (“Invoice”)

Introduction

Welcome to FitStream™️ a group live streaming service provided by Gym In Motion Ltd (GIM Ltd), a company registered in England and Wales. This agreement outlines the terms and conditions governing your access to and use of our streaming services, including our website (gyminmotion.com), mobile applications, and content available through our platform (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these terms.

Eligibility

- You must be at least 18 years old or have parental consent to use the Service.

- You must reside in the United Kingdom or a territory where the Service is available.

- You agree to provide accurate and up-to-date information during registration.

Subscription

Subscription Plans 

- We offer both monthly (per calendar month) quarterly (per 3 calendar months) and annual (per calendar year) plans, as detailed on our website (gyminmotion.com/fitstream)

Billing and Payment

Cost of Service  

The cost of the service and or equipment is set out in the invoice. VAT will be added to the cost of the service. GIM Ltd reserves the right to increase the cost of service by the RPI rate of inflation as announced annually in February. The Client will be advised by email of such increase. Should the Client continues to accept GIM Ltd services after the date of notification, it will be taken that the Client accepts the increase in cost for the services and or equipment supplied. RPI may be checked at https://www.ons.gov.uk/economy/inflationandpriceindices .

- Payments are processed through NatWest for invoice payments and Go Cardless for direct debit payments.

- All subscription fees are in GBP (£) and exclusive of VAT, where applicable.

- Subscriptions are payable in advance and invoiced on the 14th of each month. Payment is required by the 28th of each month.

- Subscriptions auto-renew unless cancelled at least 24 hours before the 14th of the month.

- You authorise us to charge your chosen payment method for the subscription fee.

- Invoices and Statements will be sent via email to the email address given at the time of setting up your account.

Free Trial 

- Free trial last 30 days from date of first service

- You may be required to provide payment details to start a trial. 

- If you do not cancel before the trial ends, you will be charged for the chosen subscription plan.

Cancellations and Refunds 

- You may cancel your subscription at any time via email to: accounts@gyminmotion.com

- No refunds are provided for partial subscription periods, except as required by UK law.

- If you cancel within 14 (fourteen) days of subscribing (cooling-off period), you may be entitled to a refund, provided you have not accessed the Service during this period.

Use of the Service

Permitted Use 

- The Service is for personal, non-commercial use only. 

- You may stream content on 1 (one) device at a time.

- Content is licensed for viewing in the UK only, unless otherwise specified.

Prohibited Use 

- You must not: 

  - Share your account details with others. 

  - Download, copy, or distribute content without permission. 

  - Use the Service for illegal purposes or in violation of these terms. 

  - Attempt to bypass geographical restrictions (e.g., using a VPN).

Content Availability 

- Content availability may change without notice. 

- We may restrict access to certain content based on age ratings or licensing agreements.

Account Security

- You are responsible for maintaining the confidentiality of your account credentials. 

- Notify us immediately at accounts@gyminmotion.com if you suspect unauthorised access to your account. 

- We are not liable for losses caused by unauthorised use, except where required by law.

Intellectual Property

- All content, trademarks, and software on the Service are owned by or licensed to GIM Ltd

- You are granted a limited, non-exclusive, non-transferable licence to access and stream content for personal use. 

- You may not reproduce, distribute, or modify any content without written permission.

Privacy and Data Protection

- We process your personal data in accordance with the Data Protection Act 1998 and the GDPR.

- We collect data such as [e.g., name, email, payment details, viewing history] to provide and improve the Service. 

- You consent to our use of cookies and similar technologies.

Termination

- We may suspend or terminate your access to the Service if you breach these terms or for other lawful reasons. 

- You may terminate your account at any time by contacting us at

accounts@gyminmotion.com

- Upon termination, your access to the Service will cease, and no refunds will be provided for unused subscription periods.

Confidentiality

- All information regarding the business and affairs of each party to these terms and conditions will be kept 9

- Under the Consumer Rights Act 2015, the Service must be provided with reasonable care and skill. 

- If the Service is faulty or not as described, you may be entitled to a repair, replacement, or refund. 

- For digital content, you have a 14-day cooling-off period under the Consumer Contracts Regulations 2013, unless you have expressly consented to waive this right by accessing the Service.

Changes to Terms

- We may update these terms to reflect changes in law, our Service, or business practices. 

- You will be notified of significant changes via email.

- Continued use of the Service after changes constitutes acceptance of the new terms.

Governing Law and Jurisdiction

- All matters arising from these terms and conditions are governed by English Law and are subject to the exclusive jurisdiction of the courts of England and Wales.

- Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, except where EU/EEA consumer protections apply.

We aim to respond within 48 hours.  If you are not satisfied, you may refer disputes to an alternative dispute resolution (ADR) provider, such as the Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr .

16. Additional Terms

 - If any part of these terms is found to be unenforceable, the remaining terms will remain in effect.

17. Deemed Receipt

- Any notice, invoice or statement served on the Client at its address either by hand or by first class post or otherwise by email transmission and shall be deemed served 48 (forty eight) hours after posting if sent by post or on delivery if it’s delivered by hand and on completion of transmission if sent by email.
